You, as a newcomer here, may not have been aware of the fact, but most people on these forums know these things .

Not the detailed company structures involved, but the ultimate ownership is not secret or hidden.

As a secondary point, the name changes of companies, and their Articles of Association is bog-standard practice in the corporate world. It's often quicker, easier and cheaper to buy a company name off someone then change its name and details than to set one up from scratch. There are multiple business that do nothing else but create companies with all sorts of names in order to put them up for sale for this purpose.

It's normal in other ways too. Skoda is a slightly modified old VW design. As is SEAT. Vauxhall and Opel used to be the basically identical. Both owned by General Motors but sold under the names of the companies they had bought.

Plusnet is owned by BT Group, to provide a cut-price competitor to TalkTalk. John Lewis broadband is provided by Plusnet but doesn't belong to BT Group. Just like your Shell is provided by TalkTalk.

A 2 second google would have clearly explained to you who owns Giff Gaff. They are not trying to hide the fact.

This is not hidding ownership it more of a marketing strategy.

No different to VW Group that owns Audi, Porsche, Seat, Skoda, and even Bugatti. Or Toyota whom own Lexus.

Telefonica is the Spanish equivalent to BT, the incumbent telco with the majority of fixed lines. They own a lot of physical mobile networks in south america under the Movistar brand, and in the UK and Germany their O2 branded physical mobile networks have been half-sold in Joint-Venture agreements with others. In Germany it was O2 & ePlus, and in the UK it was Virgin Media & O2. This raises capital they can use to pay back debts and invest in the Movistar networks.

Giffgaff is a low cost, mobile virtual network operator (MVNO) that is owned separately to O2 by Telefonica. They buy capacity from the VMO2 physical network and sells it to customers. Exactly the same as Sky Mobile, or Tesco Mobile. There was a lot of confusion that perhaps O2 owned GiffGaff, but it is O2's old parent whom does. Technically if contracts expire/change, then GiffGaff could move to a different physical host. (As Virgin Mobile has moved from EE, to Vodafone currently, and is expected to move to O2 soon).
